Terms of Service

These Terms constitute a legally binding agreement between you and AI Pixel Shift. Please read them carefully before using our AI-powered image transformation services.

1. Acceptance of Terms

By accessing or using the AI Pixel Shift website, application, API, or any related services (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms").

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree to all the terms and conditions of this agreement, you may not access or use the Service.

2. Nature of Artificial Intelligence Services

  • Probabilistic Results: You acknowledge that the Service utilizes stochastic artificial intelligence systems. Results are probabilistic and may vary significantly based on inputs. We make no representations or warranties regarding the accuracy, quality, or suitability of specific AI-generated outputs for your intended purpose.
  • No Guarantee of Uniqueness: Due to the nature of generative AI, identical or similar inputs may yield identical or similar outputs. You accept this inherent limitation.
  • Beta Features: Certain aspects of the Service may be designated as "beta" or "experimental." These features are provided "as-is" and may be prone to errors or instability.

3. Intellectual Property & User Content

3.1 Ownership of Your Inputs

You retain all right, title, and interest in and to the images, photos, text, and other material you upload or submit to the Service ("User Content"). We do not claim ownership of your User Content.

3.2 License to AI Pixel Shift

By submitting User Content, you grant AI Pixel Shift a worldwide, non-exclusive, royalty-free, fully paid-up license to host, store, reproduce, modify, and process your User Content solely for the purpose of providing the Service to you (e.g., generating the transformation). This license terminates when your content is deleted from our systems.

3.3 Ownership of Outputs

Subject to your compliance with these Terms, AI Pixel Shift hereby assigns to you all its right, title, and interest in and to the images generated by the Service based on your User Content ("Generated Content"). You own the output.

4. Prohibited Conduct

You agree NOT to use the Service to:

  • Generate content that depicts child sexual abuse material (CSAM) or any form of non-consensual sexual content.
  • Upload images infringing on any third party's copyright, trademark, privacy, or publicity rights.
  • Generate hate speech, violence, or content that promotes illegal acts.
  • Reverse engineer, decompile, or attempt to extract the source code or model weights of the Service.

5. Indemnification

You agree to defend, indemnify, and hold harmless AI Pixel Shift, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including, but not limited to, your User Content, any use of the Service's content, services, and products other than as expressly authorized in these Terms.

6. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL AI PIXEL SHIFT OR ITS AFFILIATES BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICE, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

THE TOTAL LIABILITY OF AI PIXEL SHIFT AND ITS LICENSORS FOR ANY CLAIMS UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE PAST SIX (6) MONTHS.

7. Dispute Resolution & Governing Law

All disputes, claims, or controversies arising out of or relating to this agreement shall be resolved by binding arbitration under the rules of the American Arbitration Association, rather than in court.

These Terms shall be governed by the laws of the State of Delaware, without respect to its conflict of laws principles.
